The organization is seeking a Senior Business Advisory & Transactions Attorney to support its General Business Advisory team. This role provides day-to-day counsel to business clients across regulatory compliance, employment, intellectual property, commercial transactions, and related matters.
This is advisory work with broad scope—examples include trademark clearance, contract turnaround, vendor security addendum reviews, separation planning, agency audit responses, and risk-focused counseling.
Responsibilities
Own day-to-day advisory work for business clients
- Serve as on-call counsel for fast-turn contract review and negotiation, vendor risk and security addenda, dispute prevention, demand letters, and judgment calls that arise between larger projects.
- Handle regulatory compliance and licensing across regulated industries, including compliance reviews and filings, state and local business and professional licensing, license transfers, and defense of complaints, investigations, and disciplinary actions.
- Respond to agency investigations and audits.
- Advise on workplace safety and OSHA compliance, advertising and marketing review in regulated industries, government procurement, bid protests, and economic development incentives.
- Advise on employment matters, including handbooks and policy suites, employment and independent contractor agreements, restrictive covenants and confidentiality terms, discipline, separations, releases, restructuring, and support for workplace investigations.
- Protect the brand through trademark strategy, clearance screening, USPTO filings, brand use guidelines and policing, pre-litigation cease-and-desist work, copyright assignments, work-for-hire terms, licensing, and domain name disputes.
- Act as the primary client contact on most matters and escalate when risk, budget, or strategy shifts.
Build durable programs and improve legal delivery
- Design compliance programs with policies, training, and an audit cadence; implement trade secret and confidentiality controls.
- Support operational legal audits across contracts, compliance, and HR.
- Conduct policy and process mapping; develop codes of conduct and conflicts policies.
- Create and maintain data privacy and cybersecurity incident response playbooks.
- Mentor junior attorneys and paralegals by delegating meaningful work and providing instruction and feedback.
- Bring at least one concrete improvement a week to matter plans, clause libraries, templates, technology, or legal products.
- Maintain timekeeping, service commitments, budgets, and on-plan execution, both in your own work and in delegated work.
Deepen the client relationship
- Identify adjacent legal needs as work progresses, recognizing that advisory work reveals issues before clients name them.
- Lead disciplined alignment conversations at the start of a matter and throughout to prevent scope, timeline, and expectation drift.
- Provide proactive outreach beyond open matters and support relationship development.
Requirements
- JD and an active Florida Bar license.
- 5+ years of business advisory, regulatory and compliance, employment, or intellectual property practice.
- Demonstrated ability to manage matters independently, including budget discipline, accurate scoping, and reliable delivery without daily supervision.
- Precision drafting skills, including clean documents, consistent defined terms, and attention to detail.
- Comfort communicating directly with clients, counterparties, agencies, and regulators.
- Ability to work within a structured system and improve it rather than route around it.
- Strong triage judgment to distinguish low-effort questions from high-risk issues.
- Comfort delegating real work and following up to ensure completion.
Preferred Qualifications
- Administrative law or licensing practice before state or local agencies.
- USPTO trademark prosecution experience.
- Employment counseling experience on the advisory side, not primarily litigation.
- Depth in a regulated industry (e.g., construction, healthcare, financial services, or similar).
- Experience building a compliance program from scratch.
- Georgia Bar admission or willingness to seek it.
